BY-LAWS OF THE WESTERN PENNSYLVANIA TRACK CLUB

1. NAME: The name of this non-profit corporation is The Western Pennsylvania Track Club (previously known as The Mt. Lebanon Track Club).

2. PURPOSE: This club has been organized and will function to promote, finance, and participate in athletic activities including, but not limited to, track, field, cross country and road running. The purpose of such activities is to enable club members and those with whom they associate to understand and more effectively utilize the strength and coordination of their bodies. By doing so they will become more confident and more aware of the dignity and worth of themselves and those with whom and against whom they train and compete. The club will undertake to accomplish its purpose by attracting, training and encouraging people to participate and compete in athletic endeavors.

3. MEMBERSHIP
SECTION 1. There are two classes of membership, active and sideliner, both without restriction other than as set forth in these by-laws.
SECTION 2. Active membership includes persons who participate in athletic events and those who contribute time to the conduct of club activities and one parent of a non-voting athlete who does not qualify under any other clause.
SECTION 3. Sideliner membership includes persons who contribute money or other assets to the club or its activities.
SECTION 4. Only active members are eligible to attend meetings. Only active members 18 years of age or older may serve as officers or directors of the club. Only active members 14 years of age or older may vote.
SECTION 5. Books, accounts, minutes and records of the club are open to inspection by any members.
SECTION 6. The only requirements of active membership are these: good character and compliance with the charter and by-laws of this club.
SECTION 7. Dues levied upon active members will be used for operational expenses and membership dues in affiliated organizations.
SECTION 8. Active membership may be terminated by resignation or by majority vote of the Board of Directors after hearing and for cause.

4.MEETINGS
Section I. Active members will meet at least once each year. Special meetings of the active members may be called as provided in these by-laws.
Section 2. The Board of Directors will meet at least bi-monthly. Special meetings of the board may be called as provided in these by-laws.
Section 3. Special meetings of active members may be called by the President at such times as he may deem necessary. A majority of the Board of Directors may call a special meeting of active members by submitting to the Secretary a signed request stating the purpose or purposes of such meeting.
Section 4. Special meetings of the Board of Directors may be called by the President at such times as he may deem necessary. A majority may call a meeting of the board by submitting to the Secretary a signed request stating the purpose or purposes of such meeting.
Section 5. The time and place of any meeting of active members or directors shall be designated by the President.
Section 6. Forty of the active members constitutes a quorum at any meeting of the membership. (This number may be lowered if 40 is above 25% of total membership at any time).
Section 7. A majority of the directors constitutes a quorum at any meeting of the board.
Section 8. The President or a director designated by him for that purpose will preside at each meeting of the active membership of the Board of Directors. Section 9. Club policy will be formulated by the Board of Directors and adopted at Board meetings in the form of resolutions and directives. Club activities will be administered by the officers and directors through standing committees. All policy and activities will be reported in summary form to active members periodically, but not less frequently than once each year.
Section 10. Active members may at any time submit to officers or the Board of Directors proposals for effective revisions of club policy or activities and upon written request, any active member may address the next meeting of the board in support of any such proposal.
Section 11. All meetings will be conducted according to Roberts Rules of Order.

6. NOTICES
Section 1. A written notice of each meeting of active members will be mailed to all active members at their registered addresses at least ten days before the date of the scheduled meeting. Such notice will specify the time and place of meeting, whether it is a special meeting and the nature of business to be conducted.

Section 3. Notice of any meeting in a newsletter or other publication of the club mailed to active members will satisfy the requirements of this article.
Section 4. It is the responsibility of each member and each director to register with the secretary of the club the address to which notices and other communications of the club are to be directed.
Section 5. Unless otherwise required by law, any notice required to be given by these by-laws may be waived in a writing signed by the person or persons entitled to such notice.

7. BOARD OF DIRECTORS
Section l. The business of this club will be conducted by a Board of Directors consisting of seven active members who are no younger than eighteen years of age.
Section 2. The seven directors will be elected at the annual meeting of active members.
Section 3. The Board of Directors will meet immediately after their election and elect from their number these three officers: President, Secretary, Treasurer. The President will thereupon designate as chairmen of four standing committees the four directors who were not elected as officers. These committees shall include, but not be limited to, the categories of Membership; Women; Men and Events and Affiliations. Committees will consist of active members appointed by the chairmen.
Section 4. Any officer or director may be removed by affirmative vote of four or more directors then serving in office.
Section 5. Any vacancy among the officers or the Board of Directors will be filled by vote of the remaining directors.
Section 6. Any action which could be taken by the Board of Directors at a scheduled meeting may be taken without a meeting with the unanimous written consent of the Board of Directors.

8. ATHLETIC STANDARDS It is a major purpose of the club to promote competition of athletes. Such competition is not to be for winning only but to test individuals against themselves as well as others. To the extent possible within its means, it is the intention of the club to enable members to compete regionally, nationally, and internationally according to individual effort, ability and promise. All members are expected to proactive good sportsmanship, to be respectful of adversaries and officials and to seek athletic recognition only upon the basis of merit and effort.

9. RECRUITMENT It is the purpose of this club to interest persons of all ages in those athletic activities which it promotes. Athletes are to be accepted and participate in club functions without distinction or classification other than according to age and sex eligibility for competition. Individuals interested in physical conditioning will be encouraged to join the club even though they do not anticipate participation in competition.

10. TRANSPORTATION The club recognized that considerable efforts and expenses will be concerned with transporting athletes to events at distant location. Within the means of the club, use of commercial transportation services will be encouraged. Private vehicles must be used with these standards:
Section l. No driver or owner of a privately owned vehicle may be reimbursed more than actual costs occurred on a given trip.
Section 2. No driver may consume alcoholic beverages during a period of five hours before starting or continuing a trip while transporting athletes.
Section 3. No driver or personally owned vehicle may be utilized for transportation of athletes unless there is available automobile liability insurance coverage; medical expense coverage; and uninsured motorist coverage.
Section 4. Each driver is expected to comply with all motor vehicle laws, to observe appropriate safety requirements and to set favorable examples for younger athletes who may be passengers.

11. AMENDMENTS These by-laws may be amended by a majority vote at any meeting of the WPTC Board of Directors provided only that a summary of the proposed amendment has been included in written notice of that meeting. Amendments may be proposed by majority vote of the Board of Directors or upon written request of any ten active members.

12. LOBBYING No officer, director or active member may in such capacity seek to influence any legislative body. Neither may funds of the club be expended directly or indirectly for such purpose.

13. EFFECTIVE DATE These by-laws were voted upon by the general membership of The Mt. Lebanon Track Club on February 27, 1973. They were approved by the general membership of The Western Pennsylvania Track Club at its meeting on February 25th, 1975.

14. DISSOLUTION CLAUSE In the event of the dissolution of The Western Pennsylvania Track Club, the funds in the treasury, after all creditors have been paid, shall go to any 501 © (3) non-profit organization selected by a majority vote of the WPTC Board of Directors.
